Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Xerify platform ("Service"), operated by Xerify SAS ("Xerify", "we", "us", or "our"). By creating an account or using our Service, you agree to be bound by these Terms.
1. Acceptance of Terms
By accessing or using the Xerify platform, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, you must not access or use the Service. We reserve the right to modify these Terms at any time, and your continued use of the Service after such modifications constitutes your acceptance of the revised Terms.
2. Description of Services
Xerify provides a cloud-based Software-as-a-Service (SaaS) platform for XBRL and iXBRL document validation, viewing, comparison, and data quality analysis. Our Services include: - Multi-taxonomy XBRL/iXBRL validation (ESEF, Solvency II, COREP/FINREP, US GAAP, IFRS, and others) - Interactive iXBRL document viewer - XBRL file comparison (diff) engine - Validation result exports (PDF, Excel, JSON, CSV) - REST API for programmatic integration - Custom business rules engine - Webhook notifications The Service is provided "as is" and "as available". We continuously improve our platform and may add, modify, or discontinue features with reasonable notice.
3. User Accounts and Registration
To use the Service, you must create an account by providing accurate and complete information, including a valid email address and a secure password. You are responsible for: - Maintaining the confidentiality of your account credentials - All activities that occur under your account - Notifying us immediately of any unauthorized use of your account - Ensuring that your account information remains accurate and up to date You must be at least 18 years old to create an account. Each user must maintain only one account. We reserve the right to suspend or terminate accounts that violate these Terms.
4. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not: - Upload, transmit, or store any content that is illegal, harmful, threatening, abusive, or otherwise objectionable - Attempt to gain unauthorized access to any part of the Service, other accounts, or computer systems - Use the Service to transmit viruses, malware, or other harmful code - Reverse engineer, decompile, or disassemble any part of the Service - Use automated tools (bots, scrapers) to access the Service except through our official API - Exceed the rate limits or quotas defined by your subscription plan - Resell, sublicense, or redistribute the Service without our written consent - Use the Service in any manner that could impair, overburden, or damage our infrastructure We reserve the right to investigate and take appropriate action against violations, including account suspension or termination.
5. Pricing, Payment, and Billing
Xerify offers subscription plans with different feature sets and usage limits. Pricing is as displayed on our website at the time of purchase. - Free Plan: Limited features and usage, no payment required. - Paid Plans (Starter, Pro, Enterprise): Billed monthly or annually via Stripe. Annual plans receive a 20% discount. - Overage Charges: If you exceed your plan's included validations, additional validations are billed at the per-unit rate specified for your plan. - Payment: All payments are processed securely through Stripe. You authorize us to charge your payment method for recurring subscription fees and any applicable overage charges. - Taxes: Prices are exclusive of applicable taxes (VAT, sales tax). Taxes will be calculated and added based on your billing location. - Refunds: Monthly subscriptions are non-refundable. For annual plans, you may request a prorated refund within the first 14 days. - Plan Changes: Upgrades take effect immediately with prorated billing. Downgrades take effect at the end of the current billing period. We reserve the right to modify pricing with 30 days' prior notice. Existing subscriptions are honored until the end of the current billing period.
6. Data Processing and Privacy
Your use of the Service involves the processing of data, including XBRL/iXBRL files you upload and validation results generated by our platform. - Data Ownership: You retain full ownership of all files and data you upload to the Service. Xerify does not claim any ownership rights over your content. - Data Processing: We process your files solely for the purpose of providing the Service (validation, viewing, comparison, export). We do not access your file contents for any other purpose. - Data Storage: Files are stored securely in encrypted cloud storage (AWS S3 or equivalent) and are retained according to your plan's retention policy. - Data Deletion: You may delete your files and data at any time. Upon account deletion, all associated data is permanently removed in accordance with our Privacy Policy and GDPR obligations. - Subprocessors: We use third-party services (AWS, Stripe, Cloudflare, Resend) to deliver the Service. 7. Intellectual Property
The Service, including its design, source code, algorithms, trademarks, and documentation, is the exclusive property of Xerify SAS and is protected by intellectual property laws. - License to Use: We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service in accordance with your subscription plan and these Terms. - Your Content: You retain all intellectual property rights in the files and data you upload. By uploading content, you grant us a limited license to process it solely for providing the Service. - Feedback: If you provide suggestions, ideas, or feedback about the Service, you grant us an unrestricted, perpetual license to use such feedback to improve our products. - Open Source: The Xerify platform uses open-source components, including Arelle (Apache 2.0 license). These components are subject to their respective licenses. Nothing in these Terms transfers any intellectual property rights except as expressly stated.
8. Limitation of Liability
To the maximum extent permitted by applicable law: - The Service is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory. - We do not warrant that the Service will be uninterrupted, error-free, or secure, or that validation results will be complete or accurate for any specific regulatory purpose. - Xerify shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities. - Our total aggregate liability for any claims arising from or related to the Service shall not exceed the amount paid by you to Xerify in the 12 months preceding the claim. - You acknowledge that XBRL validation is a technical aid and does not constitute legal, financial, or regulatory advice. You are solely responsible for the accuracy and completeness of your regulatory filings. Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so the above limitations may not fully apply to you.
9. Termination
Either party may terminate this agreement at any time: - By You: You may cancel your subscription and delete your account at any time through the Service settings or by contacting support. Cancellation takes effect at the end of the current billing period for paid plans. - By Us: We may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or fail to pay for a paid subscription after reasonable notice. Upon termination: - Your access to the Service will be revoked. - Your data will be retained for a grace period of 30 days, during which you may export your data. - After the grace period, all data associated with your account will be permanently deleted. - Any outstanding fees remain due and payable. Provisions that by their nature should survive termination (liability, intellectual property, indemnification) shall survive.
10. Changes to Terms
We reserve the right to update or modify these Terms of Service at any time. When we make changes: - We will update the "Last updated" date at the top of this page. - For material changes, we will notify you via email or through a prominent notice within the Service at least 30 days before the changes take effect. - Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of those changes. If you do not agree with the revised Terms, you must stop using the Service and delete your account before the changes take effect.
11. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of France, without regard to its conflict of law provisions. Any disputes arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Paris, France. Before initiating any legal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation for a period of at least 30 days. If negotiation fails, mediation through a certified mediator in Paris may be attempted before resorting to litigation. For consumers within the European Union, nothing in these Terms affects your statutory rights under applicable consumer protection laws.
